Terms of Use

These Terms of Use ("Terms") govern your access to and use of the EnableU websites, including enableu.ai and app.enableu.co, and our AI-powered sales enablement platform, including any related modules, products, and services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree to these Terms, you must not use the Services.

If EnableU has executed a separate written agreement with your organization governing the use of the Services (such as a Master Subscription Agreement), that agreement will control to the extent of any conflict with these Terms.

1. Eligibility and Account Registration

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
  • You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use of your account.

2. Access to the Services

Subject to your compliance with these Terms and any applicable subscription agreement, EnableU grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes during the applicable subscription term.

We may modify or discontinue features of the Services from time to time, provided that we will not materially reduce the core functionality of a paid subscription during the then-current subscription term without reasonable notice to affected customers.

3. Acceptable Use

You agree not to misuse the Services and not to allow others to do so. In particular, you must not:

  • Use the Services in violation of any applicable law, regulation, or third-party rights.
  • Upload, transmit, or store any content that is unlawful, harmful, fraudulent, infringing, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Services or related systems, or interfere with or disrupt the integrity or performance of the Services.
  • Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Services, except to the extent permitted by law.
  • Use the Services to develop or train models or products that compete directly with EnableU, except as expressly permitted in a separate written agreement.
  • Resell, lease, license, or otherwise make the Services available to third parties outside your organization, except as permitted by your subscription.

4. Customer Data and Privacy

"Customer Data" means any data, content, or materials that you or your organization submit to the Services, including sales assets, playbooks, notes, messaging content, and other information.

  • As between you and EnableU, your organization retains ownership of Customer Data. You grant EnableU a limited, worldwide, non-exclusive, sublicensable license to host, process, transmit, and display Customer Data as necessary to provide and improve the Services, in accordance with our Privacy Policy and any applicable data processing agreement.
  • You are responsible for ensuring that you have all necessary rights and permissions to submit Customer Data to the Services and for the accuracy, quality, and legality of Customer Data.
  • Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that EnableU will process personal information in accordance with that policy.

5. AI and Generated Content

Parts of the Services use artificial intelligence and machine learning models to generate outputs based on prompts, Customer Data, or other inputs. You understand and agree that:

  • AI-generated content may be inaccurate, incomplete, or reflect biases present in training data or input sources. You are responsible for reviewing and validating outputs before relying on them.
  • You will not use AI-generated content as a substitute for professional advice (including legal, financial, or compliance advice) without appropriate independent review.
  • To improve the Services, EnableU may use aggregated and de-identified data about how users interact with AI features, subject to our Privacy Policy and any applicable data protection agreements.

6. Fees, Subscriptions, and Trials

Access to certain features or tiers of the Services may require a paid subscription.

  • Subscription terms, pricing, and payment details are described on our pricing page or in a separate order form or agreement with your organization.
  • Unless otherwise agreed in writing, subscriptions renew automatically at the end of each term at the then-current rates, unless canceled in accordance with the applicable cancellation policy.
  • We may offer free trials or promotional access. We reserve the right to modify, limit, or terminate any trial or promotion at our discretion.

7. Intellectual Property

  • EnableU and its licensors own all right, title, and interest in and to the Services, including all software, models, interfaces, designs, logos, and related intellectual property, subject only to the limited rights expressly granted in these Terms.
  • You may provide feedback, comments, or suggestions about the Services ("Feedback"). EnableU may use Feedback without restriction and without obligation to you.

8. Confidentiality

To the extent that you and EnableU exchange non-public information that is identified as confidential or that should reasonably be understood to be confidential ("Confidential Information"), each party agrees to use the other party's Confidential Information only as necessary to perform its obligations or exercise its rights under these Terms and to protect it from unauthorized use or disclosure. This obligation does not apply to information that is publicly available, already known to the recipient, independently developed without use of the Confidential Information, or received from another source without confidentiality obligations.

9. Warranties and Disclaimers

  • To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, and EnableU and its suppliers disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Services will be uninterrupted, error-free, secure, or meet your specific requirements or expectations.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will EnableU, its affiliates, or its suppliers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, arising out of or related to these Terms or your use of the Services, even if advised of the possibility of such damages.

To the extent permitted by law, EnableU's aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts paid or payable by your organization to EnableU for the Services giving rise to the claim during the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100) if you are using a free or trial version of the Services.

11. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless EnableU and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services in violation of these Terms, applicable law, or third-party rights.

12. Term and Termination

  • These Terms remain in effect while you access or use the Services.
  • We may suspend or terminate your access to the Services (or any portion thereof) if you violate these Terms, if required by law, or if continued access could create security or legal risk.
  • Upon termination of your access to the Services, your right to use the Services will immediately cease. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, limitations of liability, and indemnification) will continue to apply.

13. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction indicated in the applicable order form or subscription agreement with your organization, without regard to conflict of laws rules. If no such jurisdiction is specified, the laws of the State of Delaware, USA, will apply, excluding its conflict of laws rules.

The parties agree to attempt to resolve any dispute through good-faith negotiations. If the parties are unable to resolve a dispute informally, the dispute will be resolved in the courts located in the applicable jurisdiction described above, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, legal requirements, or our business. When we make material changes, we will provide notice as appropriate (for example by updating the "Last updated" date, posting a notice on our website, or sending a notification through the Services).

Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.

15. General

  • If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • You may not assign or transfer these Terms or your rights and obligations under them without our prior written consent. EnableU may assign these Terms in connection with a merger, acquisition, or sale of assets, or to an affiliate.
  • No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right.
